About SICA INVEST
SICA INVEST is an investment company established as a public limited company. Its purpose is to hold and manage a certain amount of participations, whether in shares, bonds or other, in companies having a capitalization that is smaller or equal to 300 million euros.
The targeted “small caps” companies are inter alia the companies admitted on the Free Market or on Euronext Brussels and Euronext Paris’ Alternext market. Other targeted “small caps” companies include low market capitalization companies admitted on a regulated market or companies aiming at a future admission on one of those markets.
SICA INVEST’s shares are, in order to improve their liquidity and negotiability, negotiable on Euronext Brussels’ Alternext market. Therefore, SICA INVEST is subjected to the transparency and information requirements provided by the Royal Decree of 21 August 2008 determining the additional rules applicable to certain multilateral negotiation systems and to CBFA approved Alternext’s market rules.
Investors have therefore the possibility:
(i) to strongly diversify their investment, since they will have the opportunity to hold shares in an investment company which is invested in a certain number of “small caps” selected by professionals, instead of merely investing in certain particular “small caps” ;
(ii) to have more liquid titles, considering the size of the investment company and its free float (all SICA INVEST’s titles are negotiable on the market);
(iii) to allow an active management of their investment by professionals, since SICA INVEST is offering its shareholders the extended experience and know-how of its partners in the field of capital at risk, portfolio management and stock market analysis;
(iv) to have a real influence on the management of “small caps” in which they invest, since SICA INVEST intends to impose on the companies in which it has invested to meet the highest standards for transparency, corporate governance and ethics. To do so, SICA INVEST will not hesitate to claim the presence of a representative in the companies’ board of directors in which it holds a participation;
(v) to optimize the costs related to the holding and the management of multiple small and minority participations in companies having a low liquidity.
